These Terms of Service (“Terms”) govern your access to and use of the website located at www.clauselegal.com (the “Site”) and all related services, features, and tools (collectively, the “Service”) provided by Clause Legal LLC, a Wyoming limited liability company (“Clause,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
Clause provides an AI-assisted platform for creating legal agreements, beginning with prenuptial agreements. The Service allows users to build customized agreements through a guided process and, optionally, connect with licensed attorneys for independent legal review.
Clause is not a law firm and does not provide legal advice. The Service provides tools to help you create legal documents based on your inputs. The information and documents generated by the Service are for informational purposes only and do not constitute legal advice.
No attorney-client relationship is formed between you and Clause by using the Service. Any attorney you engage through the Service is an independent legal professional, not an employee or agent of Clause. The attorney-client relationship, if any, exists solely between you and the attorney.
We strongly recommend that each party to any legal agreement obtain independent legal counsel before signing.
To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
The Service uses artificial intelligence, including large language models, to assist in generating legal documents based on your inputs. While we strive for accuracy, AI-generated content may contain errors or omissions. You are solely responsible for reviewing all generated documents for accuracy and completeness before use.
Clause does not guarantee that AI-generated documents will be legally enforceable, valid, or suitable for your specific circumstances.
The Service may offer you the option to have your agreement reviewed by a licensed attorney. Attorneys available through the platform are independent contractors, not employees or agents of Clause. Clause compensates attorneys a flat fee for each completed consultation as independent contractor compensation.
Clause does not control, direct, or supervise the legal advice or services provided by any attorney. Any engagement with an attorney is subject to the attorney’s own terms of engagement.
Certain features of the Service require payment. All fees are displayed before you complete a purchase. Payments are processed securely through our third-party payment processor, Stripe. By providing payment information, you represent that you are authorized to use the payment method provided.
All fees are in U.S. dollars and are non-refundable unless otherwise stated or required by applicable law.
You retain ownership of the information, data, and documents you provide or create through the Service (“Your Content”). By using the Service, you grant Clause a limited, non-exclusive license to use, process, and store Your Content solely to provide and improve the Service.
You are solely responsible for the accuracy and legality of Your Content. You represent that you have the right to provide any information you submit through the Service.

The Service, including its design, features, code, text, graphics, and branding, is owned by Clause and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.
“Clause” and the Clause logo are trademarks of Clause Legal LLC. You may not use our trademarks without prior written consent.
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DOCUMENTS GENERATED WILL BE LEGALLY ENFORCEABLE OR SUITABLE FOR YOUR NEEDS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAUSE AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CLAUSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Clause and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall survive.
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Wyoming. You agree to waive any right to a jury trial or to participate in a class action.
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Site with a revised effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Clause regarding your use of the Service and supersede all prior agreements and understandings.
